("Cominco") from certain of the provisions of the Utilities Commission Act ("the Act"), the Minister of Energy, Mines and Petroleum Resources required, in a Sale of Surplus Power Service and Exemption Order dated July 28, 1982 ("the Ministerial Order") that Cominco and West Kootenay Power and Light Company, Limited ("WKPL") agree to a transfer of ownership of Plants Nos. 2, 3 and 4 and related and associated facilities, permits and licences from Cominco to WKPL and that WKPL obtain a Certificate of Public Convenience and Necessity therefor; and WHEREAS on October 20, 1982, WKPL applied for a Certificate of Public Convenience and Necessity; ... /2 TV,ENTY FIRST FLCOR 1177 WEST HASTINGS STREET, VANCOUVER. 8 C VeE 2L7. BRITISH COLUMBIA UTILITIES COMMISSI( 2 ORDER NUMBER C-8-82 NOW THEREFORE the Commission hereby orders that WKPL be and it is hereby granted a Certificate of Public Convenience and Necessity ("the Certificate") subject to the following conditions: 1. That the Certificate applies and relates only to Plants Nos. 2, 3 and 4 and the related and included powerhouses, dams, lands, transmission and other facilities ("the Plants") all as more specifically described in the Ministerial Order and the Sale of Plants Agreement therein referred to, as amended to comply with the Ministerial Order. 2. That the transfer of ownership of the Plants at a consideration of not more than $20 million paid by the issue of 200,000 common shares of WKPL is completed by December 31, 1982. 3. That contemporaneously with the transfer of ownership of the Plants all permits, licences, orders and certificates of exception related to the Plants and their operation ("the Assets"), all as more specifically described in the Ministerial Order and the Sale of Plants Agreement therein referred to, as amended to comply with the Ministerial Order, be transferred to WKPL by December 31, 1982, for a consideration included within the aforesaid $20 million. 4. That unless otherwise ordered by the Commission, if conditions 1 (including approval by the Commission), 2, 6(a) and 9 (including approval by the Commission) have not been met and satisfied by December 31, 1982, the Certificate shall, upon that date, become null and void and of no further force or effect.
