Taylor, Chairman; J.D.V. Newlands, Deputy Chairman; D.B. Kilpatrick, Com missioner; and N. Martin, Com missioner ORDER WHEREAS West Kootenay Power and Light Company, Limited (IIW KPL II) applied February II, 1987 for Com mission approval and acceptance for filing by the Commission of three Operating Agreements between WKPL and Cominco Ltd. (IiCominco"); and WH EREAS the three Operating Agreements were subm itted as a replacement for the Omnibus Agreement of 1985 which has been in effect during a period when Cominco was the parent company of WKPL; and WHEREAS because of the proposed acquisition of WKPL by UtiliCorp United Inc. and UtiliCorp (British Columbia) Ltd. the proposed three Operating Agreements were regarded as necessary in the public interest; and WH EREAS the Com mission has reviewed the three proposed Operating Agreements and finds them to be satisfactory, adding clarity where required. 2 NOW THEREFORE the Commission approves and accepts for filing effective the date of this Order the following Operating Agreements as submitted: I. Interconnection Agreement 2. Management Agreement 3.
