Limited BEFORE: H.J. Page, P.Eng., Commissioner, and ) Chair of the Panel; and ) May 26, 1993 K.D. Wellman, Q.C., Commissioner ) WHEREAS: A. On March 12, 1993 Pacific Northern Gas Ltd. ("PNG") applied to the Commission, pursuant to Section 61(6) of the Utilities Commission Act (lithe Act"), for approval of the acquisition by PNG of all of the issued and outstanding shares (lithe Application") of Northland Utilities (B.C.) Limited ("Northland") owned by Northwestern Utilities Limited ("Northwestern") located in Edmonton, Alberta; and B. On March 15, 1993 Northland applied for Commission approval ("the Application") pursuant to Section 61(4) of the Act to register the transfer of shares of Northland from Northwestern to PNG; and C. By Order No. G-23-93 the Commission set the Applications down for public hearing which commenced and concluded on May 5, 1993 in Dawson Creek, B.C.; and D. The Commission has considered the Applications and evidence adduced thereon all as set forth in the Decision issued concurrently with this Order. NOW THEREFORE the Commission orders as follows: 1. The Application by PNG to acquire all the issued and outstanding shares of Northland, pursuant to Section 61(6) of the Act, is approved. 2. The Application by Northland to register on its books the transfer of shares in the capital of Northland is approved. 3. PNG and Northland will comply with the several directions incorporated in the Commission's May 26, 1993 Decision issued concurrently with the Order. .
