Rhodes, Commissioner August 6, 2008 O R D E R WHEREAS: A. On August 1, 2008 Universal Energy Corporation (“Universal Energy”) applied to the BC Utilities Commission (“Commission”) for approval to complete the transfer and assignment of all Wholesale Energy Group (“Wholesale Energy”) residential and commercial gas service Consumer Agreements to Universal Energy; and B. Article 28 of the Code of Conduct for Gas Marketers, Transfer of Agreements requires that the assignment, sale or transfer of a Gas Marketer’s Consumer Agreements to another Gas Marketer must be approved in advance by the Commission; and C. Commission Order A‐30‐07 dated November 1, 2007 approved a Residential/Commercial Gas Marketer Licence for Universal Energy; and D. Commission Order A‐19‐07 dated October 12, 2007 approved a Residential/Commercial Gas Marketer Licence for Wholesale Energy; and E. After the assignment of the Consumer Agreements takes place from Wholesale Energy to Universal Energy, Wholesale Energy will have no further obligation thereunder, and the gas supply arrangements will be assumed by Universal Energy; and F. On August 1, 2008 the Commission issued to Universal Energy a series of questions in order to clarify the circumstances for the assignment of Consumer Agreements from Wholesale Energy to Universal Energy; and . . ./2

On August 5, 2008 Universal Energy responded to the Commission’s letter dated August 1, 2008 and the Commission finds that the transfer of Wholesale Energy’s Consumer Agreements to Universal Energy is in the public interest. NOW THEREFORE pursuant to section 71.1(6) of the Utilities Commission Act the Commission orders as follows: 1. Universal Energy is permitted to acquire the residential and commercial natural gas Consumer Agreements of Wholesale Energy. 2. The approval granted by the Commission will terminate six months from the date of this Order should the transfer and assignment of all Wholesale Energy’s residential and commercial gas service Consumer Agreements to Universal Energy be incomplete. 3. Within 30 days of the transfer Universal Energy is to send a letter to all affected residential and commercial Consumers confirming that Universal Energy will be their Gas Marketer. The correspondence must provide the Consumer with all of Universal Energy’s up to date contact information.
