O R D E R
WHEREAS:
A. On July 25, 2011, Stargas Utilities Ltd. (Stargas) applied to the British Columbia Utilities Commission (the Commission) pursuant to section 54 of the Utilities Commission Act (the Act) for approval to transfer a 50 percent interest in Stargas from Rundle Investments Ltd. (Rundle) to CMI Holdings (1998) Inc. (CMI) (the Application);
B. CMI is a limited liability company incorporated under the laws of the Province of British Columbia as an investment holding company controlled and owned by a family resident in the Province;
C. CMI proposed to acquire Rundle’s 50 percent interest in Stargas for fair market value (the Transaction). If the proposed Transaction is approved, CMI will have 100 percent ownership of Stargas;
D. Stargas responded to Commission Information Request No. 1 on August 3, 2011; and
E. Section 54(9) of the Act states:
“The commission may give its approval under this section subject to conditions and requirements it considers necessary or desirable in the public interest, but the commission must not give its approval under this section unless it considers that the public utility and the users of the service of the public utility will not be detrimentally affected.”
F. The Commission has reviewed the Application, the responses to the information request and has determined that the public utility and the users of the service will not be detrimentally affected.
NOW THEREFORE pursuant to section 54 of the Act, the Commission approves for Stargas the transfer of a 50 percent interest in Stargas from Rundle to CMI.
