ORDER

WHEREAS:

 

A.      On November 19, 2019, the British Columbia Utilities Commission (BCUC) received a joint application from  AltaGas Canada Inc. (ACI) and PSPIB Cycle Investments Inc. (PSPIB) pursuant to section 54 of the Utilities Commission Act (Act) for PSPIB acquiring a reviewable interest in each of Pacific Northern Gas Ltd. (PNG) and PNG’s wholly owned subsidiary Pacific Northern Gas (N.E.) Ltd (PNG[NE]) through the acquisition of all of the issued and outstanding common shares of ACI (Application);

B.      PNG is a direct wholly owned subsidiary of ACI;

C.      PNG provides natural gas distribution service to 12 communities in northwestern British Columbia and PNG(NE) provides natural gas distribution service to communities in northeastern British Columbia;

D.      PNG and PNG(NE) are public utilities regulated by the BCUC under the UCA;

E.       The approval of the Application would result in PSPIB acquiring all of the common shares of ACI thus acquiring a reviewable interest in both PNG and PNG(NE); and

F.       The BCUC has reviewed the Application and considers the establishment of a public hearing is warranted.

 

NOW THEREFORE pursuant to section 54(7) of the UCA, the BCUC orders as follows:

 

1.       The Regulatory Timetable for the review of the Application is established, as set out in Appendix A to this order. Parties who wish to actively participate in the proceeding are to register with the BCUC by completing a Request to Intervene Form, available on the BCUC’s website under Get Involved, by the date established in the Regulatory Timetable and in accordance with the BCUC’s Rules of Practice and Procedure attached to Order G-5-19;

2.       PNG must provide a copy of this order and Application within 3 business days of issuance, electronically where possible, to all registered and interested parties in the 2017 PNG Revenue Requirements Application and 2017 PNG(NE) Revenue Requirements Application;

3.       This Application and supporting material are to be made available for inspection at the following locations: Public libraries in Fort St. John, Dawson Creek and Tumbler Ridge; the head office of Pacific Northern Gas Ltd. at Suite 2550, 1066 West Hastings Street, Vancouver, BC, V6E 3X2; and the British Columbia Utilities Commission office at Suite 410, 900 Howe Street, Vancouver, BC, V6Z 2N3. Pacific Northern Gas Ltd. is to also make the Application available on its website at www.png.ca;

4.       PNG is to publish in display-ad format, as soon as possible, but no later than January 6, 2020, the Notice of Application (Public Notice) as Appendix B to this order, in such appropriate news publications as may properly provide adequate notice to the public in the affected service;

5.       PNG and PNG(NE) customers are invited to submit letters of comment on the Application. Letters of comment must be received by the BCUC by the last date included in the proceeding’s regulatory timetable before final arguments, unless the BCUC directs otherwise. Letters of comment that are received late will not be considered by the BCUC in the proceeding. Letters of comment must be in the Letter of Comment Form available on the BCUC’s website at https://www.bcuc.com/forms/letter-of-comment.aspx, and submitted by email to commission.secretary@bcuc.com or by mail, courier or personal delivery to the British Columbia Utilities Commission, Suite 410, 900 Howe Street, Vancouver, BC, V6Z 2N3.

APPLICATION TO ACQUIRE REVIEWABLE INTEREST IN PNG

 

On November 19, 2019, AltaGas Canada Inc. (ACI) and PSPIB Cycle Investments Inc. (PSPIB) filed an Application requesting approval pursuant to section 54 of the Utilities Commission Act (UCA) for PSPIB acquiring a reviewable interest in each of Pacific Northern Gas Ltd. (PNG) and PNG’s wholly-owned subsidiary Pacific Northern Gas (N.E.) Ltd (PNG[NE]) through the acquisition of all of the issued and outstanding common shares of ACI. PNG is a direct wholly owned subsidiary of ACI. The completion of the Application would result in PSPIB acquiring all of the Common shares of ACI thus purchasing a reviewable interest in both PNG and PNG(NE).
